When sole proprietorship is the right call

Sole Proprietorship is the simplest business structure in India — there's no separate legal entity. The business and the owner are the same person. You sign contracts in your personal capacity, pay tax through your personal ITR, and the business income is treated as your individual income.

It's the right call for freelancers, consultants, small traders, local shops, professionals starting out, content creators, and any business where the owner is the operator and there's no plan to raise capital or hire a large team. Setup is fast, costs are low, and compliance is minimal.

The flip side: you have unlimited personal liability — if the business is sued or owes money, your personal assets are at stake. Once your scale crosses a threshold (typically when you're hiring employees, raising capital, or signing large B2B contracts), you'll want to convert to an LLP, OPC, or Pvt Ltd. We handle that migration when you're ready.
